1. Acceptance of These Terms
These Terms of Service (“Terms”) are a binding legal agreement between you and Lead Hippo, operating as Lead Hippo (“Lead Hippo”, “we”, “us”, “our”), governing your access to and use of LeadHippo.ca (the “Site”) and the purchase of homeowner project opportunities (“Opportunities” or “Leads”). By accessing the Site or purchasing an Opportunity, you agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and our Legal Disclaimers, each of which is incorporated by reference. If you do not agree, do not use the Site.
We may amend these Terms at any time by posting the revised Terms on the Site. Continued use after posting constitutes acceptance of the amended Terms.
2. What Lead Hippo Is — and Is Not
Lead Hippo is a marketplace. We collect information from homeowners who have contacted us about renovation and home-improvement projects and who have expressly consented to have their project details and contact information shared with a limited number of contractors. We then sell access to that information.
YOU ACKNOWLEDGE AND AGREE THAT: (A) LEAD HIPPO IS AN INFORMATION MARKETPLACE ONLY; (B) LEAD HIPPO IS NOT A CONTRACTOR, BROKER, AGENT, EMPLOYMENT SERVICE, OR REFERRAL AGENCY; (C) LEAD HIPPO DOES NOT ACT AS AGENT OR REPRESENTATIVE FOR ANY HOMEOWNER OR ANY CONTRACTOR; (D) NO AGENCY, PARTNERSHIP, JOINT VENTURE, EMPLOYMENT, OR FRANCHISE RELATIONSHIP EXISTS OR IS CREATED BETWEEN YOU AND LEAD HIPPO, OR BETWEEN LEAD HIPPO AND ANY HOMEOWNER, BY THESE TERMS OR BY ANY USE OF THE SITE; AND (E) LEAD HIPPO OWES NO FIDUCIARY DUTY OF ANY KIND TO YOU, TO ANY HOMEOWNER, OR TO ANY OTHER PERSON IN CONNECTION WITH THE SITE OR ANY OPPORTUNITY.
Any agreement, quotation, contract, or work arrangement that may result from your contact with a homeowner is strictly between you and that homeowner. Lead Hippo is not, and will never be, a party to it.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into contracts.
You must be purchasing Opportunities for legitimate business purposes as, or on behalf of, a contracting or home-services business.
You are responsible for holding all licences, registrations, insurance, and qualifications required by law to perform the work you pursue.
4. Opportunities and Purchases
Each Opportunity may be sold a maximum of three (3) times. Opportunities are non-exclusive unless expressly stated otherwise.
Available purchase spots are displayed on each listing. Starting checkout temporarily reserves a spot for a limited period; the purchase is final only when Stripe confirms successful payment. Expired or cancelled reservations are released automatically.
Prices are listed per Opportunity in Canadian dollars and may vary between Opportunities. Applicable taxes may be added at checkout.
Payment is processed by Stripe. We do not store your payment card details. Your payment information is handled under Stripe's terms and privacy policy.
At checkout you must provide accurate contact information, including your company name, email address, and phone number. We may refuse or cancel any purchase made with false or misleading information.
If, due to simultaneous transactions or technical error, a purchase is completed for an Opportunity with no spots remaining, our sole obligation is to refund that purchase in full.
5. What You Receive — and What You Do Not
Upon successful payment you will receive by email an Opportunity Report containing the project information and homeowner contact details we collected, including the homeowner's name and direct phone number, the project type, budget range, timeline, description, photographs where provided, and the general location (city or region).
No street address is included. Lead Hippo does not collect, store, sell, or disclose homeowner street addresses. Whether and when to disclose a property address is entirely the homeowner's decision, made directly by the homeowner in their own communications with you. You have no entitlement to receive an address from Lead Hippo under any circumstances.
You are purchasing access to information as it was provided to us by the homeowner at the time of collection. You are not purchasing a customer, a contract, an appointment, or any guaranteed outcome.
6. No Guarantees
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEAD HIPPO MAKES NO REPRESENTATION, WARRANTY, GUARANTEE, OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, THAT: (A) ANY HOMEOWNER WILL ANSWER, RETURN, OR RESPOND TO YOUR CONTACT ATTEMPTS; (B) ANY HOMEOWNER WILL REQUEST OR ACCEPT A QUOTATION FROM YOU; (C) ANY PROJECT WILL PROCEED, PROCEED ON THE DESCRIBED BUDGET OR TIMELINE, OR BE AWARDED TO YOU OR TO ANYONE; (D) INFORMATION PROVIDED BY A HOMEOWNER IS ACCURATE, CURRENT, OR COMPLETE; OR (E) ANY PARTICULAR RETURN ON YOUR PURCHASE WILL BE ACHIEVED.
Project information is supplied to us by homeowners. While we describe our verification practices on the Site (including that we speak with every homeowner and obtain consent before listing), we cannot and do not warrant the truth or completeness of information homeowners provide. The HippoScore shown on listings is an internal, subjective quality indicator only; it is not a warranty, prediction, or professional assessment.
7. Your Use of Homeowner Information
Homeowner information is disclosed to you for one purpose only: contacting the homeowner about the specific project described in the Opportunity you purchased. You agree that you will:
contact the homeowner only in connection with that project, in a professional and lawful manner;
comply with all applicable laws in your communications, including Canada's Anti-Spam Legislation (CASL) for any commercial electronic messages and all applicable telemarketing rules;
not sell, resell, license, share, publish, or otherwise disclose homeowner information to any third party;
not use homeowner information for general marketing lists, remarketing, data enrichment, or any purpose unrelated to the purchased Opportunity;
cease contact promptly if the homeowner asks you to; and
securely delete homeowner information when it is no longer needed for the purchased purpose.
Breach of this section is a material breach of these Terms. We may bar you from future purchases and pursue any available legal remedy, and you will indemnify us for claims arising from your misuse of homeowner information.
8. Refunds
All sales are subject to our Refund Policy published on the Site, which forms part of these Terms. A replacement opportunity or refund may be available when the homeowner cannot be reached within five business days and the issue is reported within seven days, subject to the Refund Policy. Except as expressly set out in the Refund Policy or required by law, all sales are final. The unavailability, unresponsiveness, or change of mind of a homeowner, or your failure to win the work, does not by itself entitle you to a refund except as the Refund Policy provides.
9. Homeowner Consent and Removal
Every Opportunity is listed only after the homeowner has expressly consented to their project details and contact information being shared with up to three (3) contractors. Homeowners may withdraw consent at any time. If consent is withdrawn before an Opportunity sells out, the listing will be removed; information already delivered to purchasers prior to withdrawal cannot be recalled, and purchasers must honour any homeowner request to cease contact.
10. Intellectual Property
The Site and all of its content — including the Lead Hippo name, logo, mascot, HippoScore, Opportunity Report format, text, graphics, and software — are owned by or licensed to Lead Hippo and are protected by intellectual-property laws. You may not copy, scrape, frame, or reproduce any part of the Site or its listings without our prior written consent. Purchasing an Opportunity grants you no licence to any Lead Hippo intellectual property.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE”, AND “WITH ALL FAULTS” BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEAD HIPPO DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, EXPRESS, IMPLIED, OR COLLATERAL, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL LEAD HIPPO OR ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SITE, THESE TERMS, OR ANY OPPORTUNITY, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) LEAD HIPPO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO LEAD HIPPO FOR THE OPPORTUNITY GIVING RISE TO THE CLAIM (OR CAD $100 IF THE CLAIM DOES NOT RELATE TO A PURCHASED OPPORTUNITY).
Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Lead Hippo and its owners, directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site or any Opportunity; (b) your communications, dealings, quotations, contracts, or work with or for any homeowner; (c) your breach of these Terms, including any misuse of homeowner information; or (d) your violation of any law or the rights of any third party.
14. Suspension and Termination
We may suspend or terminate your access to the Site, and refuse future sales to you, at any time and in our sole discretion, including where we reasonably believe you have breached these Terms or misused homeowner information. Sections 5–13 and 15–16 survive termination.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising out of or relating to these Terms or the Site, and waive any objection based on venue or inconvenient forum.
16. General
Entire agreement: these Terms, together with the Privacy Policy, Refund Policy, and Legal Disclaimers, are the entire agreement between you and Lead Hippo regarding the Site.
Severability: if any provision is held unenforceable, it will be modified or severed to the minimum extent necessary, and the remainder will continue in full force.
No waiver: our failure to enforce any provision is not a waiver of it.
Assignment: you may not assign these Terms; we may assign them in connection with a sale or reorganization of the business.
Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
